Terms of Service

1. Acceptance of Terms

By accessing or using updatealert.io ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Service.

These Terms constitute a binding agreement between you and devicebase GmbH, Heßstraße 41, 80798 München, Germany ("we", "us", "our").

2. Scope and Eligibility (B2B Only)

The Service is offered exclusively to businesses, freelancers, public institutions, and other entities acting in a professional or commercial capacity. It is not intended for consumers within the meaning of § 13 BGB.

By using the Service, you confirm that:

• You are acting in a professional capacity
• You are authorized to bind your organization
• You are at least 18 years old

We reserve the right to verify eligibility and suspend accounts that do not meet these criteria.

3. Service Description

updatealert.io is a SaaS notification service for IT professionals. We monitor publicly available vendor release notes, generate structured summaries, and notify users via email or API/webhooks.

4. Data Sources and Accuracy

All information is derived from publicly available vendor sources. We do not control, verify, or independently validate this content.

We do not guarantee that notifications are complete, accurate, or timely. The Service does not provide a comprehensive overview of all updates or vulnerabilities.

The Service is not a security monitoring, compliance, or incident response tool and must not be relied upon as the sole source for critical decisions.

Users must verify all information against official vendor sources before acting.

The Service depends on third-party sources, which may change or become unavailable.

5. Service Availability

We do not guarantee uninterrupted availability.

• Maintenance
• Third-party failures
• Force majeure events

No SLA applies unless agreed separately.

6. User Accounts

You are responsible for:

• Accurate information
• Credential security
• All activity under your account

We may suspend accounts that are compromised or provide false data.

7. Acceptable Use

You agree not to:

• Violate laws
• Interfere with the Service
• Attempt unauthorized access
• Reverse engineer the Service
• Resell or misuse data

You must not exceed reasonable usage levels (e.g. excessive API usage).

We may enforce usage limits ("Fair Use") and restrict access if exceeded.

8. Subscriptions and Payment

8.1 Paid Subscriptions

Subscriptions are billed annually in advance.

8.2 Renewal

Subscriptions renew automatically unless cancelled 30 days prior.

8.3 Cancellation

Cancellation takes effect at the end of the term. No refunds unless required by law.

8.4 Payment Failure

We may suspend or terminate access if payment fails.

10. Intellectual Property

All rights to the Service remain with devicebase GmbH.

You receive a limited, non-transferable license for internal business use.

11. Third-Party Content

All trademarks and vendor content belong to their respective owners.

12. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect or consequential damages, including:

• Loss of profit
• Loss of data
• Business interruption

The Service is provided "as is" without warranties.

Essential contractual obligations ("Kardinalpflichten") are obligations necessary for proper contract performance and on which users may rely.

In cases of slight negligence, liability for breach of Kardinalpflichten is limited to foreseeable damages.

Exceptions:

• Intent or gross negligence
• Injury to life, body, or health
• Product liability law

Total liability is limited to fees paid in the previous 12 months.

13. Force Majeure

We are not liable for events beyond our control, including:

• Infrastructure failures
• Cyberattacks
• Government actions
• Natural disasters

14. Data Protection

We act as an independent controller under GDPR.

We only process personal data necessary for operating the Service (e.g. account data).

The Service is not intended for processing personal data on behalf of users.

15. Data Export and Deletion

Data can be exported at any time.

After termination, data is retained for 30 days, then deleted unless legally required otherwise.

16. Termination

You may terminate at any time.

16.2 By Us

We may suspend or terminate if:

• Terms are violated
• Usage exceeds fair limits
• Legal or security risks arise
• Payment is not made

17. Changes

We may update these Terms with 30 days notice for material changes.

18. Governing Law

German law applies. Jurisdiction: Munich (B2B only).

19. Miscellaneous

• Severability applies
• No waiver
• No assignment without consent
• English version prevails
• Entire agreement clause
